Official terms and conditions governing the use of the Eventcape platform.

1. What this document covers
These Terms of Service ("Terms") govern your use of the Eventcape platform ("Platform"), operated by Eventcape Technologies Limited ("Eventcape", "we", "us"), a company registered in Nigeria. By creating an account, you agree to these Terms.
Eventcape is a coordination and contract platform for events. We connect hosts, planners, and vendors, facilitate digital contract signing, and enable milestone-based payments through Paystack. We are not a bank, payment processor, escrow provider, or event planner.
2. Who can use Eventcape
You must be at least 18 years old and legally capable of entering binding contracts under Nigerian law. If you are registering on behalf of a business, you confirm you have the authority to bind that business to these Terms.
All users who wish to send or receive payments through the Platform must complete identity verification (KYC) through our partner, Dojah. This includes BVN verification and, where applicable, business registration verification.
3. Account types and roles
Eventcape supports three account roles:
Host. The individual or organisation commissioning and funding an event. Hosts create events, hire planners, approve vendor selections, and authorise milestone payments.
Planner. The individual or business engaged by a Host to plan and coordinate the event. Planners source vendors, manage timelines and tasks, draft contracts, and manage event logistics.
Vendor. The individual or business providing goods or services for an event (catering, photography, florals, venues, etc.). Vendors receive RFQs, submit quotes, sign contracts, and invoice for completed milestones.
A single user may hold multiple roles across different events.
4. How payments work
Eventcape does not hold, store, or process funds. All payments are processed by Paystack, a CBN-licensed payment processor. When we describe payments on the Platform, this is what happens:
4.1 The Host and Vendor (or Host and Planner) sign a contract on the Platform that includes defined milestones and payment amounts.
4.2 When a milestone is completed, the Vendor submits an invoice through the Platform with supporting evidence.
4.3 The Host reviews the evidence and approves or disputes the invoice.
4.4 Upon approval, Eventcape instructs Paystack to initiate a transfer from the Host's funding source to the Vendor's verified bank account.
4.5 Settlement is typically completed within one business day (T+1) after approval.
4.6 Eventcape charges a platform commission of 4% on each transaction. This is split between the Vendor (3%) and the Host (1%), deducted at the point of settlement. The commission is non-refundable once settlement has occurred.
5. Contracts on the Platform
Contracts created and signed on the Platform are agreements between the Host and the Planner, or between the Host/Planner and the Vendor. Eventcape is not a party to these contracts.
Eventcape provides modular contract templates to assist users in creating agreements. These templates are provided for convenience only and do not constitute legal advice. Users are responsible for ensuring their contracts are appropriate for their circumstances. We recommend independent legal review for high-value engagements.
Contracts are signed electronically on the Platform. Both parties must sign before any payments can be initiated under that contract. Electronic signatures on the Platform are intended to comply with the Nigerian Cybercrimes Act 2015 and the Evidence Act 2011 provisions on electronic records.
6. Dispute resolution
If a dispute arises between parties to a contract on the Platform, either party may initiate the Platform dispute resolution process:
6.1 Both parties submit their position and supporting evidence through the Platform within 7 days of the dispute being raised.
6.2 Eventcape's AI-assisted mediation tool reviews the evidence and proposes a resolution within 48 hours.
6.3 If both parties accept the proposed resolution, it is applied and any payment adjustments are made accordingly.
6.4 If either party rejects the proposed resolution, the dispute escalates to a human mediator appointed by Eventcape. The mediator's decision is final and binding on both parties in respect of any payments held on the Platform.
6.5 The Platform dispute resolution process does not prevent either party from pursuing their rights through the Nigerian courts, but both parties agree to exhaust the Platform process before commencing legal proceedings.
6.6 Eventcape may, at its discretion, place a hold on disputed funds during the resolution process.
7. Cancellation and refunds
Cancellation terms are governed by the contract between the parties. Eventcape's standard contract templates include the following default refund tiers, which parties may modify:
- Cancellation more than 30 days before the event: full refund of unearned fees
- Cancellation 15–30 days before: 50% refund of unearned fees
- Cancellation less than 15 days before: no refund
Where a contract has been signed but no payments have been made, either party may terminate without financial obligation by written notice through the Platform.
8. What Eventcape is responsible for
We are responsible for: maintaining the Platform's availability and security, processing contract generation and digital signatures, facilitating the milestone-based payment workflow through Paystack, providing dispute resolution tools and mediator access, and protecting your personal data in accordance with our Privacy Policy and NDPR obligations.
9. What Eventcape is not responsible for
We are not responsible for: the quality of work performed by any Planner or Vendor, the accuracy of information provided by any user, the suitability of any Planner or Vendor for a particular event, delays caused by Paystack or banking infrastructure, force majeure events, or any losses arising from contracts between users that were not created or signed on the Platform.
10. Intellectual property
The Eventcape name, logo, and Platform design are the property of Eventcape Technologies Limited. Users retain ownership of all content they upload to the Platform (photos, documents, contracts). By uploading content, you grant Eventcape a non-exclusive licence to store, display, and process that content for the purpose of providing the Platform's services.
11. Account suspension and termination
Eventcape may suspend or terminate your account if you: provide false identity information, engage in fraudulent activity, repeatedly breach contract obligations, harass other users, or violate these Terms. We will provide 7 days' written notice before termination except in cases of fraud or illegality, where immediate suspension may apply.
12. Limitation of liability
To the maximum extent permitted by Nigerian law, Eventcape's total liability to you for any claims arising from your use of the Platform shall not exceed the total platform commissions paid by you in the 12 months preceding the claim.
13. Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes not resolved through the Platform's dispute resolution process shall be subject to the exclusive jurisdiction of the courts of Lagos State.
14. Changes to these Terms
We may update these Terms from time to time. We will notify you by email and through the Platform at least 14 days before any material changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
